Waterloo, Ontario-based Descartes Systems Group (NASDAQ: DSGX  ) has acquired KSD Software Norway AS, a company described as a "leading Scandinavia-based provider of electronic customs filing solutions for the European Union ('EU')."

On Thursday, Descartes -- itself a logistics technology solutions provider -- announced that it has paid $33 million to acquire KSD, a price offset somewhat by the $2 million in working capital that came with KSD. In addition to the cash, KSD brings with it a customer base of more than 1,300, most based in Scandinavia.

Edward Ryan, Chief Commercial Officer at Descartes, noted that KSD has about $10 million in annual recurring revenues. He suggested that the purchase price Descartes is paying approximates 3.1-times annual sales -- a significant discount to the 5.2x sales valuation at Descartes, proper.

The combined service territory�� diverse regional economy ranges from rural, agricultural and mining areas to urban, manufacturing and government service centers. As a vertically integrated electric utility, PacifiCorp owns approximately 10,600 net megawatts of generation capacity. MidAmerican Energy Company (MEC) is a regulated electric and natural gas utility company headquartered in Iowa, serving regulated retail electric and natural gas customers primarily in Iowa and also in portions of Illinois, South Dakota and Nebraska. MEC has a diverse customer base consisting of residential, agricultural and a variety of commercial and industrial customer groups. The natural gas pipelines consist of Northern Natural Gas Company (Northern Natural) and Kern River Gas Transmission Company (Kern River). Northern Natural is based in Nebraska and owns interstate natural gas pipeline systems in the United States reaching from southern Texas to Michigan�� Upper Peninsula. Northern Natural�� pipeline system consists of approximately 14,900 miles of natural gas pipelines. Northern Natural has access to supplies from mid-continent basin and provides transportation services to utilities and numerous other customers. Northern Natural also operates three underground natural gas storage facilities and two liquefied natural gas storage peaking units.

Kern River is based in Utah and owns an interstate natural! gas pipe! line system that consists of approximately 1,700 miles and extends from the supply areas in the Rocky Mountains to consuming markets in Utah, Nevada and California. Kern River transports natural gas for electric utilities and natural gas distribution utilities, oil and natural gas companies or affiliates of such companies, electricity generating companies, energy marketing and trading companies, and financial institutions. The United Kingdom utilities consist of Northern Powergrid (Northeast) Limited (Northern Powergrid (Northeast)) and Northern Powergrid (Yorkshire) plc (Northern Powergrid (Yorkshire)), which own a substantial United Kingdom electricity distribution network that delivers electricity to end-users in northeast England in an area covering approximately 10,000 square miles. The distribution companies primarily charge supply companies regulated tariffs for the use of electrical infrastructure. MidAmerican also owns HomeServices of America, Inc. (HomeServices), a full-service residential real estate brokerage firm in the United States. HomeServices also offers integrated real estate services, including mortgage originations through a joint venture, title and closing services, property and casualty insurance, home warranties, relocation services and other home-related services. It operates under 22 residential real estate brand names with over 14,000 sales associates and in nearly 300 brokerage offices in 20 states.

Crane Services provides the leasing and operation of mobile cranes primarily to the energy, mining and petrochemical markets. Distribution Services, supplying specialty metal pipe and tubing, bar and sheet products to markets including construction, industrial, aerospace and many others. Engineered Wire & Cable, providing electrical and electronic wire and cable for energy related markets and other industries. Flow Products is producing copper tube for the plumbing, heating, ventilation, and air conditioning (HVAC), refrigeration, and industrial markets. Food Service Equipment is supplying commercial food preparation equipment for restaurants and shopping carts for retail stores. Highway Technologies, primarily serving the heavy-duty highway transportation industry with trailers, fifth wheel coupling devices and undercarriage products such as brake parts and suspension systems, and also serving the light vehicle aftermarket with clutches and related products.

Industrial Products, consisting of metal fasteners for the building, furniture, cabinetry, industrial and other markets, gloves for industrial markets, portable lighting equipment for mining and safety markets, overhead electrification equipment for mass transit systems, custom-machined brass, aluminum and copper forgings for the construction, valve and other industries, brass fittings and valves for commercial and industrial applications, and drawn aluminum tubing and extruded aluminum shapes for the construction, automotive, appliance, medical and other markets . Retail Store Fixtures, providing shelving and other merchandising displays and related services for retail stores worldwide. Transportation Services & Engineered Products, including manufacturing, leasing and maintenance of railroad tank cars, leasing of intermodal tank containers, in-plant rail services, manufacturing of bi-modal railcar movers, wheel, axle ! and gear ! sets for light rail transit and gear products for locomotives, manufacturing of steel tank heads, and services, equipment and technology for processing and distributing sulfur. Water Treatment, equipment including residential water softening, purification and refrigeration filtration systems, treatment systems for industrial markets including power generation, oil and gas, chemical, and pulp and paper, gear drives for irrigation systems and cooling towers, and air-cooled heat exchangers. Marmon operates approximately 300 manufacturing, distribution and service facilities that are primarily located in North America, Europe and China, and employs more than 16,000 people worldwide.

McLane Company, Inc. (McLane) provides wholesale distribution and logistics services in all 50 states and internationally in Brazil to customers that include discount retailers, convenience stores, wholesale clubs, quick service restaurants, drug stores and military bases. Operations are divided into five business units: grocery distribution, foodservice distribution, beverage distribution, international logistics and software development. McLane�� foodservice distribution unit, based in Carrollton, Texas, focuses on serving the quick service restaurant industry. Operations are conducted through 18 facilities in 16 states. The foodservice distribution unit services more than 20,000 chain restaurants nationwide.

Other Manufacturing, Other Service and Retailing Businesses

Berkshire�� apparel manufacturing businesses include manufacturers of a variety of clothing and footwear. Businesses engaged in the manufacture and distribution of clothing products include Fruit of the Loom, Inc. (Fruit), Russell Brands, LLC (Russell), Vanity Fair Brands, LP (VFB), Garan and Fechheimer Brothers. Berkshire�� footwear businesses include H.H. Brown Shoe Group, Justin Brands and Brooks Athletic. Fruit, Russell and VFB (together FOL) is primarily a vertically integrated manufacturer and distributor of ba! sic appar! el, underwear and athletic apparel and products. Products, under the Fruit of the Loomand JERZEES labels are primarily sold in the mass merchandise and wholesale markets. In the VFB product line, Vassarette, Bestformand Curvationare sold in the mass merchandise market, while Vanity Fairand Lily of Franceproducts are sold in the mid-tier chains and department stores. FOL also markets and sells athletic uniforms, apparel, sports equipment and balls to team dealers; college licensed tee shirts and fleecewear to college bookstores and mid-tier merchants; and athletic apparel, sports equipment and balls to sporting goods retailers under the Russell Athleticand Spaldingbrands. Additionally, Spaldingmarkets and sells balls in the mass merchandise market and dollar store channel. During the year ended December, 31, 2011, approximately 30% of FOL�� sales were to Wal-Mart. FOL generally performs its own spinning, knitting, cloth finishing, cutting, sewing and packaging.

Garan designs, manufactures, imports and sells apparel primarily for children, including boys, girls, toddlers and infants. Products are sold under its own trademark Garanimalsand private labels of its customers. Garan also licenses its registered trademark Garanimalsto independent third parties. Garan conducts its business through operating subsidiaries located in the United States, Central America and Asia. Substantially all of Garan�� products are sold through its distribution centers in the United States to national chain stores, department stores and specialty stores. In 2011, over 90% of Garan�� sales were to Wal-Mart. Fechheimer Brothers manufactures, distributes and sells uniforms, principally for the public service and safety markets, including police, fire, postal and military markets. Fechheimer Brothers is based in Cincinnati, Ohio.

Justin Brands and H.H. Brown Shoe Group manufacture and distribute work, rugged outdoor and casual shoes and western-style footwear under a number of brand names, including! Justin, ! Tony Lama, Nocona, Chippewas, Born, Sofft, Carolina, Double-H Boots, Corcoran, Matterhornand Kork-Ease. Brooks Athletic markets and sells running footwear to specialty retailers under Brooksbrand. In 2011, Brooksachieved #1 market share in footwear with specialty retailers. A volume of the shoes sold by Berkshire�� shoe businesses are manufactured or purchased from sources outside the United States. Products are principally sold in the United States through a variety of channels including department stores, footwear chains, specialty stores, catalogs and the Internet, as well as through Company-owned retail stores.

Acme manufactures and distributes clay bricks (Acme Brickand Jenkins Brick), concrete block (Featherlite) and cut limestone (Texas Quarries). In addition, Acme distributes a number of other building products of other manufacturers, including glass block, floor and wall tile and other masonry products. Acme also sells ceramic floor and wall tile, as well as marble, granite and other stones through its subsidiary, American Tile and Stone. Products are sold primarily in the South Central and South Eastern United States through Company-operated sales offices. Acme distributes products primarily to homebuilders and masonry and general contractors.

Benjamin Moore & Co. (Benjamin Moore) is a formulator, manufacturer and retailer of a range of architectural coatings, available principally in the United States and Canada. McLane�� foodservice distribution unit, based in Carrollton, Texas, focuses on serving the quick service restaurant industry. Operations are conducted through 18 facilities in 16 states. The foodservice distribution unit services more than 20,000 chain restaurants nationwide.

Other Manufacturing, Other Service and Retailing Businesses

Berkshire�� apparel manufacturing businesses include manufacturers of a variety of clothing and footwear. Businesses engaged in the manufacture and distribution of clothing products include Fruit of the Loom, Inc. (Fruit), Russell Brands, LLC (Russell), Vanity Fair Brands, LP (VFB), Garan and Fechheimer Brothers. Berkshire�� footwear businesses include H.H. Brown Shoe Group, Justin Brands and Brooks Athletic. Fruit, Russell and VFB (together FOL) is prima rily a verticall! y integra! ted manufacturer and distributor of! basic ap! parel, underwear and athletic apparel and products. Products, under the Fruit of the Loomand JERZEES labels are primarily sold in the mass merchandise and wholesale markets. In the VFB product line, Vassarette, Bestformand Curvationare sold in the mass merchandise market, while Vanity Fairand Lily of Franceproducts are sold in the mid-tier chains and department stores. FOL also markets and sells athletic uniforms, apparel, sports equipment and balls to team dealers; college licensed tee shirts and fleecewear to college bookstores and mid-tier merchants; and athletic apparel, sports equipment and balls to sporting goods retailers under the Russell Athleticand Spaldingbrands. Additionally, Spaldingmarkets and sells balls in the mass merchandise market and dollar store channel. During the year ended December, 31, 2011, approximately 30% of FOL�� sales were to Wal-Mart. FOL generally performs its own spinning, knitting, cloth finishing, cutting, sewing and packaging.

Garan designs, manufactures, imports and sells apparel primarily for children, including boys, girls, toddlers and infants. Products are sold under its own trademark Garanimalsand private labels of its customers. Garan also licenses its registered trademark Garanimalsto independent third parties. Garan conducts its business through operating subsidiaries located in the United States, Central America and Asia. Substantially all of Garan�� products are sold through its distribution centers in the United States to national chain stores, department stores and specialty stores. In 2011, over 90% of Garan�� sales were to Wal-Mart. Fechheimer Brothers manufactures, distributes and sells uniforms, principally for the public service and safety markets, including police, fire, postal and military markets. Fechheimer Brothers is based in Cincinnati, Ohio.

Justin Brands and H.H. Brown Shoe Group manufacture and distribute work, rugged outdoor and casual shoes and western-styl! e footwea! r under a number of brand names, includ! ing Justi! n, Tony Lama, Nocona, Chippewas, Born, Sofft, Carolina, Double-H Boots, Corcoran, Matterhornand Kork-Ease. Brooks Athletic markets and sells running footwear to specialty retailers under Brooksbrand. In 2011, Brooksachieved #1 market share in footwear with specialty retailers. A volume of the shoes sold by Berkshire�� shoe businesses are manufactured or purchased from sources outside the United States. Products are principally sold in the United States through a variety of channels including department stores, footwear chains, specialty stores, catalogs and the Internet, as well as through Company-owned retail stores.

Acme manufactures and distributes clay bricks (Acme Brickand Jenkins Brick), concrete block (Featherlite) and cut limestone (Texas Quarries). In addition, Acme distributes a number of other building products of other manufacturers, including glass block, floor and wall tile and other masonry products. Acme also sells ceramic floor and wall tile, as well as marble, granite and other stones through its subsidiary, American Tile and Stone. Products are sold primarily in the South Central and South Eastern United States through Company-operated sales offices. Acme distributes products primarily to homebuilders and masonry and general contractors.

Benjamin Moore & Co. (Benjamin Moore) is a formulator, manufacturer and retailer of a range of architectural coatings, available principally in the United States and Canada. Products include water-thinnable and solvent-thinnable general purpose coatings (paints, stains and clear finishes) for use by the general public, contractors and industrial and commercial users. Products are marketed under various registered brand names, including Regal, Superspec, Moorcraft, Moorgard, Aura, Nattura, ben, Coronado Paint, Insl-xand Lenmar.

Benjamin Moore and its manufacturing subsidiaries rely primarily on an independent dealer network for the distribution of it s produ! cts. Its ! distribution network includes approximately ! 100 Compa! ny-owned stores as well as over 4,500 third party retailers representing over 10,300 storefronts in the United States and Canada. Benjamin Moore�� Company-owned stores represent several multiple-outlet and stand-alone retailers in various parts of the United States and Canada serving primarily contractors and general consumers. The independent retailer channel offers an array of products including Benjamin Mooreand Insl-xbrands and other competitor coatings, wallcoverings, window treatments and sundries Benjamin Moore also has three color stations located in regional malls that serve as brand marketing tools. In addition to the independent retailer channel, Benjamin Moore has recently begun to sell direct to the consumer through e-commerce sites and its customer care program, which includes national accounts and government agencies.

Johns Manville (JM) is a manufacturer and marketer of products for building insulation, mechanical insulation, commercial roofi ng and roof insulation, as well as fibers and nonwovens for commercial, industrial and residential applications. JM serves markets that include aerospace, automotive and transportation, air handling, appliance, HVAC, pipe and equipment filtration, waterproofing, building, flooring, interiors and wind energy. Fiber glass is the basic material in a majority of JM�� products, although JM also manufactures a portion of its products with other materials to satisfy the broader needs of its customers. JM regards its patents and licenses as valuable, however it does not consider any of its businesses to be materially dependent on any single patent or license. JM is headquartered in Denver, Colorado, and operates 40 manufacturing facilities in North America, Europe and China and conducts research and development at several other facilities. JM sells its products through a variety of channels, including contractors, distributors, retailers, manufacturers and fabricators.

MiTek is! a provider of engineered connector products, eng! ineering ! software and services and computer-driven manufacturing machinery to the truss fabrication segment of the building components industry. Primary customers are truss fabricators who manufacture pre-fabricated roof and floor trusses and wall panels for the residential building market, as well as the light commercial and institutional construction industry. MiTek also participates in the light gauge steel framing market under the Ultra-Spanname, manufactures and markets assembly line machinery used by the lead acid battery industry, manufactures and markets a line of masonry connector products and manufactures and markets air handling systems used in commercial building. MiTek operates on six continents with sales into approximately 90 countries. MiTek has 34 manufacturing facilities located in eleven countries and 45 sales/engineering offices located in 17 countries.

The Shaw Industries Group, Inc. (Shaw) is a carpet manufacturer based on both revenue and volume o f production. Shaw designs and manufactures over 3,000 styles of tufted carpet, tufted and woven rugs, laminate and wood flooring for residential and commercial use under about 30 brand and trade names and under certain private labels. Shaw also provides installation services and sells ceramic and vinyl tile along with sheet vinyl. Shaw�� manufacturing operations are fully integrated from the processing of raw materials used to make fiber through the finishing of carpet. Shaw�� carpet, rugs and hard surface products are sold in a broad range of prices, patterns, colors and textures.

Shaw products are sold wholesale to over 40,000 retailers, distributors and commercial users throughout the United States, Canada and Mexico and are also exported to various overseas markets. Shaw�� wholesale products are marketed domestically by over 2,000 salaried and commissioned sales personnel directly to retailers and distributors and to national accounts. Shaw�� 10 ! car pet f! ull-service distribution facilities, three hard surface! and two ! rug full-service distribution facilities and 24 redistribution centers, along with centralized management information systems, enable it to provide prompt efficient delivery of its products to both its retail customers and wholesale distributors.

Berkshire acquired an 80% interest in IMC International Metalworking Companies B.V. (IMC B.V.). Through its subsidiaries, IMC B.V. is a multinational manufacturers of consumable precision carbide metal cutting tools for applications in a range of industrial end markets under the brand names ISCAR, TaeguTec, Ingersoll, Tungaloy, Unitac, UOP It.te.diand Outiltec. IMC B.V.�� manufacturing facilities are located in Israel, United States, Germany, Italy, France, Switzerland, South Korea, China, India, Japan and Brazil. IMC B.V. has five primary product lines: milling tools, gripping tools, turning/thread tools, drilling tools and tooling. Forest River, Inc. (Forest River) is a manufacturer of recreational vehicles, utilit y, cargo and office trailers, buses and pontoon boats, headquartered in Elkhart, Indiana. Its products are sold in the United States and Canada through an independent dealer network.

Scott Fetzer companies are a diversified group of 20 businesses that manufacture and distribute a variety of products for residential, industrial and institutional use. The two of these businesses are Kirby home cleaning systems and Campbell Hausfeld products. Albecca Inc. (Albecca), headquartered in Norcross, Georgia, does business primarily under the Larson-Juhlname. Albecca designs, manufactures and distributes a complete line of branded custom framing products, including wood and metal moulding, matboard, foamboard, glass, equipment and other framing supplies in the United States, Canada and 15 countries outside of North America. CTB International Corp. is a designer, manufacturer and marketer of systems used in the grain industry and in the production of poultry, hogs a! nd eggs. !

Lubrizol is a specialty chemical company that ! produces ! and supplies technologies for the global transportation, industrial and consumer markets. Lubrizol operates two business sectors: Lubrizol Additives, which includes engine, driveline and industrial additive products and Lubrizol Advanced Materials, which includes personal and home care, engineered polymer and performance coating products. FlightSafety International Inc.(FlightSafety) is engaged primarily in the business of providing high technology training to operators of aircraft. FlightSafety�� training activities include advanced training for pilots of business and commercial aircraft; aircrew training for military and other government personnel; aircraft maintenance technician training; flight attendant and aircraft dispatcher training, and ab-initio (primary) pilot training to qualify individuals for private and commercial pilots��licenses. NetJets Inc. (NJ) is a provider of fractional ownership programs for general aviation aircraft. TTI, Inc. (TTI) is a global specialty distributor of passive, interconnect, electromechanical and discrete components used by customers in the manufacturing and assembling of electronic products. Business Wire provides electronic dissemination of full-text news releases daily to the media, online services and databases and the global investment community in 150 countries and 45 languages. Berkshire�� retailing businesses principally consist of several independently managed home furnishings and jewelry operations. The home furnishings businesses are the Nebraska Furniture Mart (NFM), R.C. Willey Home Furnishings (R.C. Willey), Star Furniture Company (Star) and Jordan�� Furniture, Inc. (Jordan��). NFM, R.C. Willey, Star and Jordan�� each offer a wide selection of furniture, bedding and accessories. In addition, NFM and R.C. Willey sell a line ! of househ! old a ppliances, electronics, computers and other home furnishings! . NFM, R.! C. Willey, Star and Jordan�� also offer customer financing to complement their retail operations. An important feature of each of these businesses is their ability to control costs and to produce high business volume by offering value to their customers.

NFM operates its business from two retail complexes with almost one million square feet of retail space and sizable warehouse and administrative facilities in Omaha, Nebraska and Kansas City, Kansas. NFM is a furniture retailer in each of its markets. NFM also owns Homemakers Furniture located in Des Moines, Iowa, which has approximately 215,000 square feet of retail space. R.C. Willey, based in Salt Lake City, Utah, is a home furnishings retailer in the Intermountain West region of the United States. R.C. Willey operates 11 retail stores, two retail clearance facilities and three distribution centers. Borsheim Jewelry Company, Inc. (Borsheims) operates from a single store located in Omaha, Nebraska. Borsheim s is a high volume retailer of jewelry, watches, crystal, china, stemware, flatware, gifts and collectibles. Helzberg�� Diamond Shops, Inc. (Helzberg), based in North Kansas City, Missouri, operates a chain of 233 retail jewelry stores in 37 states, which includes approximately 550,000 square feet of retail space. Most of Helzberg�� stores are located in malls, lifestyle centers or power strip centers, and all stores operate under the name Helzberg Diamonds. The Ben Bridge Corporation (Ben Bridge Jeweler), based in Seattle, Washington, operates a chain of 70 upscale retail jewelry stores located in 11 states that are primarily in the Western United States. Three of its locations are concept stores that sell only PANDORA jewelry.

Clayton Homes, Inc. (Clayton) is a vertically integrated manufactured housing company. At December 31, 2011, Clayton operated 33 manufacturing plants in 12 states. Are AT&T and Verizon About to Go on a Foreign Buying Spree?

It's inevitable. With the wireless market in the U.S. getting closer to saturation, the only way AT&T (NYSE: T  ) and Verizon (NYSE: VZ  ) could increase their customer base is by acquisition. But as AT&T's failed attempt at buying T-Mobile USA not too long ago shows, the odds that either of those wireless giants could sneak any significant U.S. wireless purchase past the antitrust scrutinizers would be close to nil.

It looks as if any shopping the duopoly does will have to be beyond our borders.

The great Vodafone question
For Verizon watchers, U.K.-based Vodafone (NASDAQ: VOD  ) is a likely target. This company has a heavy presence in Europe, the Middle East, Africa, and the Asia-Pacific region. It even has a significant foothold in the U.S. with its 45% share of Verizon Wireless, something that Verizon, the holder of the other 55%, would love to control.

If Verizon, the No. 1 wireless operator in the U.S., owned 100% of Verizon Wireless by buying out its joint-venture partner, it would almost double its mobile revenue with minimal regulatory problems. But if Vodafone were to sell its share of Verizon Wireless, the price would be quite steep (well above $100 billion, according to at least one analyst), though it would hardly make much sense for Vodafone to sell its interest: Verizon Wireless was its best performing segment and accounted for almost 15% of Vodafone's 2012 profits.

If Vodafone won't sell its share of Verizon Wireless, then why doesn't Verizon just buy Vodafone lock, stock, and barrel? Because, at last look, the price for Vodafone could be as high as $245 billion -- hard to swallow even for Verizon. Though in April, the Financial Times was reporting unnamed sources claiming that Barclays USA was working on a three-way deal whereby Verizon would get Vodafone's Verizon Wireless share and AT&T would get the rest of Vodafone's foreign assets.

Most recently, Verizon is said to be looking across our northern border for expansion opportunities. Reuters has reported unnamed sources saying Verizon made a tentative offer to buy Canadian telecom start-up Wind Mobile for $600 million to $800 million. Reuters also passed on another unnamed source's claim that Verizon has talked buyout with Mobilicity, yet one more Canadian telecom start-up.

Verizon CFO Fran Shammo confirmed that Canadian interest when he told The Wall Street Journal that Verizon was "looking at the opportunity" to go into Canada. "This is just us dipping our toe in the water," he said.

No go as yet for AT&T
As for U.S. No. 2 wireless company AT&T, last week Bloomberg reported knowledgeable people saying it has been holding talks with Telefonica (NYSE: TEF  ) to buy a significant part of the Spanish telecom, or some of its other foreign assets.

Bloomberg's sources say that AT&T's overtures to buy 29.9% of Telefonica were dismissed. They also said AT&T has looked into buying the U.K. mobile operator O2, a unit of Telefonica, or some of Telefonica's operations in Latin America.

Another suggested AT&T European target was the U.K. telecom EE, owned by France Telecom (NYSE: FTE  ) and Deutsche Telekom.

AT&T owns 9% of Mexican telecom giant America Movil (NYSE: AMX  ) , an investment that may prove a stumbling block if AT&T does make a play for Telefonica. America Movil and Telefonica are rival wireless companies in several Latin American countries, and regulators in those locales could bring anti-competitive objections.

Like sharks, AT&T and Verizon will have to keep moving forward to keep their dominant wireless positions, if not to just stay alive. They may be thwarted from growing at home, but there is a world of opportunity beyond our borders. I think a big buy from either or both of these companies will be coming sooner rather than later.

Who Really, Really Wants Some More Pfizer Stock?

An entity with deep pockets is looking to buy boatloads of Pfizer (NYSE: PFE  ) stock. And we're talking yacht-sized boatloads -- not canoe-sized ones. Who is this big spender eager to buy shares of the pharmaceutical giant?

None other than Pfizer itself.

Familiar pattern
Pfizer's board authorized a new $10 billion share-repurchase program this week. That comes on top of $3.9 billion remaining under the company's current share-buyback authorization.

The latest move is part of a familiar pattern for Pfizer. Over the past two and a half years, the company has embarked upon four different repurchase programs. Including the latest authorization, the combined amount of these buybacks totals around $39 billion. That's a boatload of money in anyone's book.

This new buyback of $10 billion plus the remaining $3.9 billion from the last authorization comes to nearly 7% of the company's current market cap. Pfizer also plans to retire around $11.4 billion in shares with its spinoff of animal-health business Zoetis.

Other alternatives
Of course, some investors might have preferred that Pfizer bump up its dividend instead. Pfizer's yield stands at 3.4% currently. That's not bad at all, but it's lower than the five-year average yield of 4.4% that shareholders have enjoyed.

On the other hand, Pfizer's yield already stacks up pretty well against some other big pharmas. Bristol-Myers Squibb (NYSE: BMY  ) has a dividend yield of 3.1%. Merck's (NYSE: MRK  ) yield stands at 3.7%. Pfizer fits right in the middle but still pretty close to both of these peers.

Other investors might wish that Pfizer would use some of its cash to acquire a few smaller companies. Protalix BioTherapeutics (NYSEMKT: PLX  ) has been mentioned as one possible candidate. The two companies already partner together on Gaucher disease drug Elelyso. In February, Protalix spurred rumors that Pfizer could be interested in buying the company after it announced that it had engaged Citigroup to pursue a "broad array of strategic alternatives."

The Elelyso connection does appear to make Protalix a reasonable fit for Pfizer. Israeli newspaper Calcalist reported in February that Protalix wanted to sell for $1 billion. That's more than twice the current market cap of the company and could be more than what larger players are willing to pay. However, that price tag is only a drop in the bucket for Pfizer.

Motley Fool analyst Max Macaluso suggested nearly a year ago that Pfizer should seriously consider partnering with MannKind (NASDAQ: MNKD  ) . Max saw some synergies in the two companies' working together on commercializing MannKind's inhalable insulin product, Afrezza. MannKind has stated that it is in discussions with potential partners.

Partnering is a different proposition than buying a smaller company. However, many of the same reasons given for a partnership could also apply to an outright acquisition. Even with MannKind's big stock run-up this year, Pfizer could easily foot the bill if it chose to buy the up-and-coming biotech.

Regardless of which company investors think Pfizer should buy, such a move seems unlikely unless CEO Ian Read has a change of mind. Read's philosophy so far has been that the company's money is better spent on buybacks than acquisitions or dividend increases.

While buying other companies hasn't been a priority, partnering certainly has -- and not just with small biotechs. Pfizer and Bristol-Myers Squibb collaborated on blood-thinning drug Eliquis. The two companies received FDA approval for the drug in late 2012 and previously received regulatory clearance in Europe and Japan.

Pfizer announced a major partnership with Merck earlier this year. The two big pharma organizations joined forces on development and marketing of diabetes drug ertugliflozin. They will also collaborate on using the experimental drug with Merck's Januvia.

Good move?
Pfizer's new buyback is a good move for investors. Shares are more than 9% lower than this year's high reached in April. The stock looks to be valued attractively.

With Pfizer itself wanting more of Pfizer stock, should investors jump on board also? While economic issues could make the rest of the year less rosy than the first part of 2013, I think Pfizer is a good buy over the long run. My view is that the $10 billion the company uses to buy shares back will end up being a pretty good investment.

Daniel Kahneman on Why You Won't Fix Your Flawed Thinking

Dr. Daniel Kahneman, winner of the 2002 Nobel Prize in economics, joins us to discuss his book Thinking, Fast and Slow.

Morgan Housel: You've talked before that some people are more interested and curious in your work than they are in actually implementing it in their own lives and businesses, to put forth practices to make better decisions. Do you see that changing, that people are taking it more seriously, to put it into practice?

Daniel Kahneman: There is a fair amount of interest in the work. I actually don't know. The book might have some influence on this, my guess is, but otherwise my experience was giving a lot of talks at businesses and to executives, and so on.

They are really very, very interested in that stuff, until there's a sort of a hint that it might be applicable to their own business, and then they really lose interest very quickly.

This is threatening stuff, actually. It is threatening because the idea that you can question practices, or the idea that you want to re-evaluate practices is threatening in any business.

They're very interested in the principles, but when it comes to something as elementary as evaluating your own performance and trying to improve your decision-making ... that looks like an obvious idea. You mention that idea in many contexts in financial firms; they really don't want to hear about that.

Housel: Because they don't want to be told that they're doing it wrong.

Kahneman: They don't want to be told. That kind of message is threatening to the firm; it's threatening to the leadership of the firm. It goes very, very well until you mention something that "Maybe you could do it yourself," and then you feel the chill in the room. It's immediate.

Is Samsung's Success All Marketing, or Something Else?

In the mobile world, there are really only two companies that make every other smartphone maker envious -- Apple (NASDAQ: AAPL  ) and Samsung. Samsung is the world's largest tech company by revenue, and holds 41% of the Android market share. And, according to researcher Juniper Analytics, the company shipped twice as many smartphones as Apple, and grew nine times faster in Q1 2013.

While Apple's success story has been chronicled in many news articles, books, and a forthcoming biopic, Samsung's advancement is a little more elusive and probably less dramatic -- but the impact on the smartphone market has been just as important.

Good artists copy, great artists steal
Pablo Picaso's oft-quoted phrase was one Steve Jobs used himself. Jobs once added to the phrase in an interview saying, "We have always been shameless about stealing great ideas." In an ironic twist, that's the same approach Samsung took shortly after the iPhone launched.

Apple's smartphone popularity had already been solidified at that time, and Samsung did its best to capitalize on it. In a 2010 Samsung document -- which surfaced during a trial last year between the company and Apple -- Samsung appeared to copy iPhone designs and functionality. Last year, AllThingsD wrote about the document saying: "In each case, it comes up with a recommendation on what Samsung should do going forward, and in most cases, its answer is simple: Make it work more like the iPhone."

You can contrast Samsung's response to the iPhone with other tech companies at the time.

Microsoft (NASDAQ: MSFT  ) CEO Steve Ballmer said in 2007: "There's no chance that the iPhone is going to get any significant market share. No chance." The company failed to recognize what consumers wanted, and Microsoft has been paying for it ever since. Windows Phone made up just 3.2% of all global smartphone shipments in Q1 2013.

Reports that leaked years after the iPhone initially launched showed that BlackBerry (NASDAQ: BBRY  )  -- formerly Research In Motion -- was in disbelief over the iPhone. RIM's CEO at the time, Jim Balsillie, said this just after the iPhone launched: "It's kind of one more entrant into an already very busy space with lots of choice for consumers ... But in terms of a sort of a sea-change for BlackBerry, I would think that's overstating it."

These two companies are the easiest examples to pull from, because they not only didn't notice what consumers wanted -- or stubbornly chose to ignore it -- but they also went in a decidedly non-Android direction.

Meanwhile, Samsung sought to directly compete with Apple using Android. Part of copying Apple's design and usability lead to years of lawsuits and back-and-forth accusations between Apple and Samsung that most of us are all too familiar with. But, despite rulings on either side, Samsung's similarities with the iPhone at the beginning have paid off  for the company.

But Samsung's initial follow-the-leader approach is only one small part of its meteoric rise. You have to dig inside the company's deep pockets -- and its devices -- to really get at the heart of its success.

Components and commercials collide
Samsung manufactures its processors, handset displays, and internal flash memory -- giving it control over major areas of its smartphone production. This gives the company a significant advantage over its competitors by not having to pay other companies to build main components for its devices, or wait for them to catch up to Samsung's production needs. Which is great for the company, considering it cranked out 215 million smartphones last year.

Samsung's component advantage has helped the company flood the market with variations of its devices. While other companies may find it difficult to create multiple versions of smartphones and phablets at different sizes, Samsung can utilize its production to bring a slew of devices to market at many different price points.

The other side to Samsung's manufacturing success is making components for other companies -- including Apple. Over the past few years, Samsung has made applications processors, flash memory, DRM memory, and displays for the company. For obvious reasons, Apple has attempted to move away from Samsung for some of its components, but even now, the difficult relationship remains between the two.

Aside from component manufacturing, Samsung also has marketing prowess that's helped propel the company to the top of the mobile market. The company spent $402 million marketing its smartphones in the U.S. last year -- beating Apple's $333 million for iPhone marketing. Consequently, it was hard getting through 2012 without seeing at least a handful of Samsung commercials.

The company's advertising has helped solidify its brand into the minds of mobile consumers, and has helped push the company into the top smartphone spot. In the first quarter of 2013, Samsung captured 32.7% of the global smartphone market share, with Apple following with 17.3%. One of Samsung's ads -- famously mocking a line of Apple fanboys -- was the most-viewed tech ad in 2012, and has been viewed more than 17 million times on YouTube.

No simple answer
Samsung's smartphone success comes from much more than its marketing budget -- though that's a big part of it. The company has the capability to create lots of products, adapt Android's operating system to its liking, throw gobs of money marketing its devices, and make money creating components for its competitors at the same time.

Add to all that the foresight Samsung had to mimic Apple's products at the opportune time, and you have the beginnings of Samsung's success. For now, it seems the company will continue to enjoy its status in the mobile world -- at least until someone else comes along and parrots what Samsung's doing.

Renren Launches New Share Buyback Program

Renren (NYSE: RENN  ) hopes to boost the value of its American Depositary Shares by repurchasing big chunks of them. The company's board has authorized a buyback program for up to $100 million worth of ADSes. The program is effective as of today, and will be in force for one year.

This replaces an existing $150 million initiative that had nearly been exhausted. That effort was launched in September 2011.

The buybacks for the current program will be effected through various means, including open market purchases, block trades, privately negotiated buys, and other "legally permissible ways".

In the press release announcing the move, Renren quoted its CEO Joseph Chen as saying that, in spite of the expense, the firm will "continue to focus on our long-term strategy of building a sustainable business around mobile-centric social networking." 

Currently, Renren has more than 377 million shares outstanding. Its most recent closing stock price was $2.99 per share.

Why GM Won't Buy Peugeot – Yet

Is General Motors (NYSE: GM  ) really thinking about buying distressed French automaker PSA Peugeot Citroën (NASDAQOTH: PEUGY  ) ?

That depends on how you read the tea leaves. And probably on how you define "thinking".

A bombshell report on Thursday suggested that Peugeot's founding family was willing to give up some or all of their controlling stake – if GM, which has a joint-development agreement with Peugeot, would step in with cash to rescue the drowning French carmaker.

That report sparked a variety of reactions, including this one: GM said it has "no current plans" to invest additional funds in Peugeot, in which it took a small stake last year.

But could those plans change? Well, that's an interesting question.

This GM won't buy, at least not yet
It's important to understand that current GM CEO Dan Akerson and his team aren't likely to repeat GM's historic (and unfortunate) tendency to make acquisitions just for the sake of expansion. I expect Akerson and company to stay laser-focused on their prime goal in Europe: turning long-troubled German subsidiary Opel into a fully integrated – and fully profitable – part of GM's global business.

Opel has lost billions, but those losses finally started to narrow last quarter, despite steep recessions that have knocked European new-car sales down to a 20-year low. The improvements came as a result of tough cost-cutting measures and organizational changes put in place last year, GM said. Losses are expected to narrow further over the next several quarters as more cuts take hold and new products get to market. GM now expects to get to breakeven, or close, by the end of 2015.

Put another way, after years of half-hearted measures by prior management teams, GM finally appears to have its money-burning European operation headed in the right direction.

So what does this have to do with Peugeot? This: Don't expect any interest from GM in a deal with Peugeot unless a deal can be structured that furthers the company's overriding goal of making GM Europe profitable.

Is that likely? That depends on how desperate Peugeot – and the French government – get.

Peugeot's situation is dire, and getting worse
Make no mistake, Peugeot is seriously on the ropes. It's burning cash – about 3 billion euros last year – and it only has about 4 billion more to lose before its reserves fall to the point where its operations will be crippled.

Unlike most of its competitors in Europe, Peugeot doesn't have a significant overseas presence or partner to help offset its losses at home, so its survival is dependent on a recovery – or a wrenching transformation – in Europe.

Or a bailout from the French government, which might be the family's real goal here, given that a recovery won't be happening any time soon. One way to interpret the recent reports is that this is Peugeot's way of telling French politicians, "Look, we can't do this. If you want to preserve these French jobs, bail us out. Otherwise, GM will come in and make drastic cuts."

How drastic? Here are the numbers to keep in mind: In 2012, Peugeot's French factories ran at 71% of capacity, according to IHS Automotive. Opel's German factories ran at 66% of capacity. Things haven't improved since, and may actually be worse now. As a general rule of thumb, auto factories break even at about 80% of capacity.

It's not hard to see what would have to happen if the two were combined, and how – under the right circumstances – a deal could be helpful to GM.

When Peugeot and France get truly desperate, GM might deal
It's also not hard to see that France would take a disproportionate share of the cuts. GM has already put one of Opel's four German factories on a path to closure, despite stiff resistance from Opel's powerful union and the German government. Closing a second plant in Germany isn't likely to happen.

In other words, if GM were to absorb Peugeot, it's reasonable to expect that the combined company would quickly make drastic workforce reductions in France. It's also reasonable to assume that GM won't consider moving in unless it's clear that the French government and Peugeot's unions won't stand in the way of those reductions, and won't insist on the massive severance packages that are common in Europe.

As of right now, that's not the case. But as Peugeot continues to drain its cash, and the situation becomes more dire, things might change. Watch this space.
